Corporate Lawyer (Associate)

We are seeking a general Mid-Level Associate to act as CI&T’s agent for North America while being part of a Global Legal Team located in Brazil.
This Associate will participate in various business activities, including support for pre-IPO prep, contracts, and general legal representation to ensure CI&T reaches its business goals and continues its rapid growth while following all relevant legal regulations.
-Analyze/prepare/review legal contracts & documents (internal docs & client agreements)
-Partner with our business leaders, as needed, to assist in understanding/negotiating deals
-Assist in evaluating new business opportunities with partners, vendors, subcontractors
-Assist the Legal team in our pre-IPO actions
-Attend Board meetings in the U.S and support the evolution to a governance model
-Assist with the definition of directors and shareholders rights
-Negotiate business transactions
-Bring improvements to the processes
-Coordinate with other CI&T geographic regions
-Consult internally on CI&T’s policies and positions on legal matters
-Guide management on regulatory and compliance issues to ensure compliance
-Represent CI&T in legal proceedings
-Protect CI&T against legal risks and violations
-Provide daily legal advice as needed
-Provide intellectual property and patent guidance
-Provide legal guidance on real estate transactions
-Coordinate with local lawyers as needed for new entity set-up
-Assist as needed with Labor law
-Minimum of 3-4 years of experience as a Corporate Attorney, Corporate Lawyer
-An active attorney’s license to practice law in New York State (and with its jurisdictions of DC, CT, MD, MA, NH, NJ, OH, TN, and VT)P
-Public company experienced
-Proven hands on experience in corporate law (IPO prep, M&A, contract law, tax law, accounting, securities law, bankruptcy, intellectual property rights, patents, licensing, zoning laws)
-Demonstration of utmost confidentiality in all business-related matters
-Strong negotiation and communications skills
-Availability to travel
-Provide support to the Legal team in mergers and acquisitions (M&A) (not Essential, but a plus)
